Terms and Conditions

The agreement that governs your use of Paragon Windows services and communications.

1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you," "your," or "Customer") and Syndicate Marketing, LLC, doing business as Paragon Windows ("Paragon Windows," "we," "us," or "our"). These Terms govern your access to and use of our website, in-home consultations, door-to-door sales, quoting, financing referral, installation, and warranty services (collectively, the "Services").

These Terms do not replace or override the specific written installation contract, scope of work, and pricing you sign with Paragon Windows for a particular project. Where a signed installation contract conflicts with these Terms, the signed installation contract controls for that project.

We reserve the right to modify these Terms at any time. Updated Terms will be posted with a revised "Last Updated" date. Your continued use of the Services after changes are posted constitutes your acceptance of the modified Terms.

2. Description of Services

Paragon Windows is a residential window and door replacement company operating in Texas and Utah. We may engage in any or all of the following activities:

  • Free in-home consultations, measurements, and estimates;
  • Door-to-door sales visits to discuss window and door replacement needs;
  • Custom fabrication of replacement windows and doors;
  • Installation, insulation upgrades, and window/door inspections;
  • Referral to third-party financing partners, currently Synchrony and Sunlight Financial, for customers who wish to finance their project;
  • Outbound marketing and scheduling communications via SMS, voice calls, and email;
  • Administration of our Lifetime Workmanship Guarantee and applicable manufacturer warranties.

Financing, where offered, is provided by independent third-party lenders and is subject to credit approval and that lender's own terms and conditions. Paragon Windows is not a lender and does not guarantee approval for any financing offer.

3. Eligibility

You represent and warrant that: (a) you are at least eighteen (18) years of age; (b) you have full legal capacity to enter into these Terms and, where applicable, a home improvement contract with us; (c) all information you provide is true, accurate, current, and complete; (d) you are the owner of the property at which Services are requested, or you have the property owner's authorization to request Services; and (e) the telephone number, email address, and any other contact information you submit belongs to you or you are otherwise authorized to provide it.

4. Consent to Receive Communications (TCPA and CAN-SPAM Disclosures)

4.1 Express Written Consent

By providing your telephone number, mobile number, or email address through a web form, in-home or door-to-door conversation, verbal authorization, or any other means, you expressly consent to receive communications from Paragon Windows

regarding estimates, scheduling, project updates, financing follow-up, warranty service, and marketing, sent by SMS/MMS text message, voice call (including prerecorded or automated voice where permitted), and email. By opting into our SMS program, you agree to receive text messages from Paragon Windows regarding your window and door estimate, installation, and related services.

Message frequency varies depending on where you are in the estimate, financing, and installation process, and may include recurring marketing messages. You acknowledge that your consent is not required as a condition of purchasing any goods or services. Standard message and data rates may apply — check with your mobile carrier for details.

For help at any time, reply "HELP" to any text message or contact our customer care using the information in Section 21. To stop receiving messages, reply "STOP" as described in Section 4.4. By participating in our SMS program, you agree to these Terms and to our Privacy Policy.

4.2 Scope of Consent

Your consent under this Section covers communications from Paragon Windows only. We do not share your contact information with unrelated third-party advertisers for their own marketing purposes. Where you apply for financing, your information is shared with the specific financing partner you select for purposes of that application, as described in our Privacy Policy.

4.3 Record of Consent

By granting consent, you authorize Paragon Windows to maintain a written or electronic record of your consent, including the date, time, source, and any other identifying metadata. Consent records are retained for a minimum of five (5) years following the date of consent or last communication.

4.4 Opt-Out and Revocation of Consent

You have the right to revoke your consent at any time, free of charge,

by replying "STOP" to any SMS message, verbally requesting removal during a call or in-person visit, or submitting a written request via email. We will honor opt-out requests as soon as practicable and in no event later than ten (10) business days from receipt.

4.5 Time-of-Day Restrictions

We do not initiate marketing telephone solicitations, door-to-door visits, or text messages before 9:00 a.m. or after 8:00 p.m. local time at your location, consistent with the Telephone Consumer Protection Act and applicable Texas and Utah law.

4.6 Do Not Call Registry

Paragon Windows honors the National Do Not Call Registry and applicable state registries. Inclusion of your number on such a registry does not prohibit communications for which you have provided prior express consent or that fall within an established business relationship exemption.

5. Call Recording and Monitoring

Some, but not all, telephone calls between you and Paragon Windows may be recorded or monitored for quality assurance, training, compliance, and dispute resolution purposes. Where calls are recorded, you will be notified at the beginning of the call. Recordings, where created, are retained for seven (7) days from the date of the call, after which they are automatically deleted, except where a longer retention period is required by law, is relevant to a pending dispute, or has been specifically requested by you in writing.

6. Door-to-Door Sales and Your Right to Cancel

6.1 In-Home and Door-to-Door Solicitation

If you agree to purchase Services as a result of a sale made at your home, including a door-to-door sales visit or an in-home consultation, federal and state law give you certain cancellation rights described below.

6.2 Right to Cancel (Cooling-Off Period)

Under the FTC's Cooling-Off Rule and applicable Texas and Utah law, if you sign a purchase agreement for our Services at your home or at a location other than our regular place of business, you generally have the right to cancel that agreement for any reason within three (3) business days of signing, without penalty. Your signed installation contract will include the specific written notice of cancellation and instructions required by law, including a form you may use to exercise this right. To cancel, you must provide written notice by the deadline stated in your contract, using the contact information in Section 21 or the address on your contract.

This Section is a general summary only. The specific cancellation notice, deadlines, and procedures in your signed installation contract control and will be provided to you in duplicate at the time of signing, as required by law.

7. Estimates, Deposits, and Payment

Estimates are free and provided without obligation. A signed contract and any applicable deposit are required before fabrication of custom windows or doors begins, since custom units are built to your home's specific measurements. Payment terms, deposit amounts, and financing arrangements (where applicable) will be set out in your signed installation contract. Custom-fabricated windows and doors are built to order and may not be eligible for return once fabrication has begun, except as required by your right to cancel under Section 6 or applicable law.

8. Financing Through Third-Party Partners

If you choose to finance your project, we will refer you to one of our financing partners, currently Synchrony or Sunlight Financial. Your financing application, approval, rates, terms, and repayment obligations are governed entirely by your agreement with that financing partner, not by Paragon Windows. We make no guarantee of approval, rate, or terms. Please review your financing partner's own terms and privacy policy before applying. Any dispute regarding your financing agreement should be directed to your financing partner.

9. Lifetime Workmanship Guarantee and Warranties

Installations are covered by our Lifetime Workmanship Guarantee, which covers installation, sealing, and framing labor for the life of the installation, is transferable within the first ten (10) years, and is honored through a single point of contact rather than a claims-form process, as described at the time of sale. Manufacturer glass and product warranties (up to the term stated by the manufacturer at the time of sale) are separate from, and in addition to, our workmanship guarantee and are administered according to the manufacturer's own terms. 10. User Obligations and Acceptable Use

You agree that you will not: (a) provide false, inaccurate, or fraudulent information, including contact information that does not belong to you; (b) use the Services in any manner that violates applicable law; (c) harass, abuse, or threaten our representatives; (d) attempt to gain unauthorized access to our systems; or (e) reproduce, copy, or exploit any portion of our website or materials without our express written permission.

11. Privacy and Data Protection

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection, use, storage, processing, and disclosure of your information as described in the Privacy Policy.

12. Intellectual Property

All content, materials, trademarks, service marks, logos, and other intellectual property comprising the Services, including the Paragon Windows name and logo, are owned by Syndicate Marketing, LLC or its licensors and are protected by United States intellectual property laws. You may not copy, modify, distribute, or create derivative works of any portion of the Services without our prior written consent.

13. Disclaimers and No Warranty (Website and Communications)

Except for the specific written warranties provided in your signed installation contract (including the Lifetime Workmanship Guarantee and applicable manufacturer warranties), our website, estimates, and general communications are provided "as is" and "as available," without warranty of any kind, to the fullest extent permitted by applicable law. We do not warrant that the website will be uninterrupted, error-free, or secure.

14. Limitation of Liability

To the fullest extent permitted by applicable law, Paragon Windows, its officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with these Terms or the Services, except as otherwise set forth in your signed installation contract or as required by applicable law. Nothing in this Section limits any warranty obligations expressly set out in your signed installation contract or the Lifetime Workmanship Guarantee.

15. Indemnification

You agree to indemnify, defend, and hold harmless Paragon Windows and its officers, employees, agents, and affiliates from and against any claims, damages, losses, or expenses arising out of or relating to: (a) your violation of these Terms; (b) your violation of any applicable law; (c) any false information you provide; or (d) your negligence or willful misconduct, excluding matters covered by our Lifetime Workmanship Guarantee or your signed installation contract.

16. Force Majeure

Paragon Windows shall not be liable for any failure or delay in performance, including installation scheduling delays, resulting from any event beyond our reasonable control, including material shortages, manufacturer delays, weather, acts of God, or labor disputes. Any such delay will be communicated to you as soon as reasonably possible.

17. Electronic Communications and E-SIGN Act Consent

By using the Services, you consent to receive communications from us electronically, including estimates, contracts, notices, and disclosures. You agree that electronic communications satisfy any legal requirement that such communications be in writing, and that your electronic signature is legally equivalent to your handwritten signature, consistent with the Electronic Signatures in Global and National Commerce Act (E-SIGN Act). You have the right to receive non-electronic copies of records upon request.

18. Binding Arbitration and Class Action Waiver

Please read this section carefully. It requires you to resolve disputes with Paragon Windows through final and binding individual arbitration and waives your right to a jury trial or to participate in a class action.

18.1 Agreement to Arbitrate

Any and all disputes, claims, or controversies arising out of or relating to these Terms, the Services, our communications, our Privacy Policy, or our relationship with you (collectively, "Disputes") shall be resolved exclusively through final and binding individual arbitration, except as set forth below. This Section does not apply to disputes governed by the specific dispute-resolution terms of your signed installation contract, where those terms conflict with this Section; in that case, your signed contract controls.

18.2 Arbitration Rules and Forum

The arbitration shall be administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules then in effect. The arbitration shall be conducted by a single neutral arbitrator, who shall have exclusive authority to resolve any Dispute, including questions of arbitrability.

18.3 Class Action and Jury Trial Waiver

You and Paragon Windows agree that each may bring claims against the other only in an individual capacity, and not as part of any class, collective, or representative action. You and Paragon Windows also waive any right to a trial by jury.

18.4 Location and Costs

Unless otherwise agreed, arbitration shall take place in Salt Lake County, Utah, or, at your election, in the Texas or Utah county where the project is located, or by telephone or video conference. Each party bears its own attorneys' fees and costs except as otherwise provided by the AAA Rules or applicable law.

18.5 Opt-Out Right

You may opt out of this arbitration agreement by sending written notice to the contact address in Section 21 within thirty (30) days of first agreeing to these Terms, including your name, address, phone number, email, and a clear statement that you wish to opt out.

18.6 Exceptions to Arbitration

Either party may bring an individual action in small claims court within that court's jurisdictional limits, and either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights or prevent a breach of confidentiality. This Section does not limit your statutory right to cancel under Section 6.

19. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to conflicts of laws principles, except that your signed installation contract for a project located in Texas will additionally be subject to applicable Texas home-improvement and consumer-protection law. For any Dispute not subject to arbitration, you and Paragon Windows agree to submit to the jurisdiction and venue of the state and federal courts located in Salt Lake County, Utah.

20. Miscellaneous

  • 20.1 Entire Agreement — These Terms, the Privacy Policy, and your signed installation contract (where applicable) constitute the entire agreement between you and Paragon Windows regarding the Services.
  • 20.2 Severability — If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
  • 20.3 No Waiver — Our failure to enforce any provision shall not be deemed a waiver of that provision.
  • 20.4 Assignment — You may not assign these Terms without our prior written consent. We may assign these Terms at any time.
  • 20.5 Independent Contractors — Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Paragon Windows.
